GENERAL TERMS AND CONDITIONS
一般条款及条件
1.TRADE TERMS Seller and Buyer shall be governed by the provisions of INCONTERMS 2000, as amended, with regard to the trade terms, such as FOB, FAS,
C&F, CIF, used herein, unless otherwise provided for herein.
贸业术语除本合同另有规定外，关于本合同中使用的贸易术语，例如：FOB、FAS、C&F、CIF, 卖方及买方均受《2000年国际贸易术语解释通则》（INCONTERMS 2000）的规定以及其修订内容的约束。
2.MARKS Unless otherwise agreed, hang identification card of the beef onto the freezers or mark on both sides of each packing with unfading paint the following items:
A.Lot Number/Bale Number
B. Gross Weight
C. Contract Number
If the marks are not clear, all the expenses arising from sorting the mixed mark bales shall be borne by the Seller.
唛头除非另有约定，在冷冻箱上挂有牛肉的标识卡或者在包装的两侧用不褪的颜料按下列项目逐包刷唛，其内容为：
A 批号/包号B毛重C合同号
若唛头不清，由此而产生的混唛理货费由卖方承担。
3.SHIPMENT 运输
(1)The goods shall be shipped and delivered strictly within the period stipulated herein. In the event of delay in shipment or delivery due to any cause not attributable to Buyer, Buyer has the option to cancel this contract or extend the period for shipment or delivery, and if shipment or delivery is further delayed due to any cause not attributable to Buyer beyond the time so extended by Buyer, Buyer may cancel this contract at any time thereafter, and in any such event the said extension or cancellation shall be without prejudice to any other rights and remedies available to Buyer.
货物应严格按照本合同规定的期限装运及交货，如因任何不可归咎于买方的原因导致装运或交货发生延误，买方有权选择取消本合同或延长装运或交货期限，如因任何不可归咎与买方的原因导致装运或交货进一步迟延超过经买方按前述规定延长的时间，买方可于此后的任何时间取消本合同，并且在此种情况下，上述延期或取消不影响买方享有的其他任何权利和补救方法。
(2)Seller shall secure the vessel or vessel’s space, unless otherwise agreed herein, ship the goods on a first class steamer or motor vessel classed Lloyd’s ∆ 100A1 or equivalent, owned and/or operated by a carrier of good reputation and standing and of the type normally used for the transport of such goods. In such event, before loading of the goods, Seller shall, at its expenses, inspect the vessel’s hold for cleanliness and suitability for loading.
由卖方洽船或订舱，除双方于本合同项下另有约定外，卖方须将货物以Lloyd’s ∆ 100A1等级或相同等级的一级汽船或机动船舶运送，该船舶须由一间拥有良好信誉及名望的承运人所拥有或运营，而且其类别应是通常用作运输此等货物。在此情形下，卖方须于装运货物之前自行承担费用检查用以装货的船舱的清洁及适合运载情况。
(3)The contract is on a CIF basis, Seller shall, unless otherwise agreed herein, compensate and reimburse Buyer for any additional insurance premiums incurred by Buyer as a result of charges made by Buyer’s insurance company for insurance of the goods by reason of unclassed vessel, overage vessel, broken-up vessel or any other characteristic of the vessel or vessel’s space secured for the transport of the goods.
本合同以CIF贸易术语为基础，除双方于本合同项下另行达成一致者外，对因使用不入级船、超龄船、解体船、或因用于运输货物的船舶或船舱之任何情况而导致买方须就货物投保而向其保险公司支付的额外保险费，卖方须予以补偿并偿还买方该额外保险费。
(4)Immediately upon completion of the loading of the goods, under CIF terms: the Seller shall notify the Buyer of the ship name, ship age (for aged ship the Seller shall pay the over-age extra premium), ship flag, shipment date, shipment port, destination port, contract number, number of the bill of lading,
total price, gross weight and net weight within 48 hours after the shipment notification from the shipping line.
在CIF贸易术语下，一旦装船完毕，卖方应在收到船公司的装运通知后48小时内，通知买方船名、船龄(老船卖方要付超龄加保费)、船旗、装船日期、装船口岸、目的港、合同号、提单号、总金额、毛重、净重。
(5)If the Seller fails to notify the Buyer by telegraph, fax or e-mail as provided in above articles and thus the Buyer is unable to purchase the insurance in time, all the losses arising therefrom shall be borne by the Seller.
如卖方未按上述条款规定通知买方，以致买方未能及时购买保险，由此而产生的损失由卖方负担。
4.PRICE The unit-price of the beef is 6000$/ton, the total price described on the face hereof shall be firm and final and shall not be subject to any adjustment as a result of a price change in Seller’s cost which may occur due to a change in material or labour costs or in freight rates or insurance premiums, or an account of any variation in rates of exchange or any increase in taxes or duties or imposition of any new taxes or duties.

价格牛肉单价为6000美元/吨，列于本合同正面的价格是确定的最终价格，该价格不因原料价格、工资成本、运费或保险费的变更、汇率变动、增加税项或关税而导致卖方的成本变动而调整。
5.GOVERNMENTAL APPROVAL Buyer shall not be responsible for failure or delay in obtaining any governmental approval necessary for the performance of this contract or for any restriction on impact or payment of taxes or changes imposed by any
governmental authority after the conclusion of this contract.
政府许可对于本合同签订后未能获得或迟延获得为履行本合同所需的任何政府批准或任何政府部门实施进口限制或征收税费，买方不承担任何责任。
6.DOCUMENTS The Seller shall provide the following documents for the negotiating bank in the event of issuing a letter of credit or the bank designated by the Buyer when not issuing a letter of credit:
(1)Three originals and three copies of the original commercial invoice and packing list, specifying the letter of credit number and contract number in details;
(2)Two copies of weight memo by weighing the bales or containers one by one;
(3)Three originals and three copies of the full set of the clean bill of lading;
(4)One copy of the shipment notification from the Seller to the Buyer;
(5)One original and one copy of the certificate of insurance under CIF terms;
(6)One original and one copy of the certificate of origin, animal inspection and quarantine certificate, and quality inspection certificate.
单据在开证时，卖方需向议付行，不开证时需向买方指定的银行提供下列单据：
(1)商业发票、装箱单正本和副本各三份，详细注明信用证号、合同号。
(2)逐包或逐集装箱过重的重量码单一式二份。
(3)全套可转让的清洁海运提单正本和副本各三份。
(4)卖方给买方的装船通知副本一份。
(5)在CIF条款下，保险单正本和副本各一份。
(6)产地证明、动物检验检疫证明和质量检验证明正本和副本各一份。
7.TERMS OF LETTER OF CREDIT 信用证
(1)In the event that the parties hereto agree to make payment by letter of credit, the Buyer shall cause the opening bank to issue an irrevocable letter of credit in favor of the Seller within 30 days prior to the latest shipment date provided by the Contract, and the payment shall be made by wire on the basis of the documents provided in Article 5-Documents. The content of the letter of credit shall be consistent with the terms and conditions of the Contract. And the expiry date of the letter of credit shall be the 21st day after the latest shipment date.
