SENDING EMAIL AGREEMENT
This Sending Email Agreement (the "Agreement") is made and entered into on [date] by and between [Party A Name], with a business address at [Party A Address] ("Party A"), and [Party B Name], with a business address at [Party B Address] ("Party B").
WHEREAS, Party A desires to send emails to Party B, and Party B agrees to receive these emails subject to the terms and conditions of this Agreement.
NOW, THEREFORE, the parties agree as follows:
1. Basic Information of Parties
Parties A and B hereby agree to provide one another with their full legal names, business addresses, email addresses, and telephone numbers.
2. Parties' Identity, Rights, Obligations, Performance Method, Term, Breach Liability
a. Party A represents and warrants that it has the right to send emails to Party B, and that the contents of such emails do not violate any applicable law or regulation.
b. Party B acknowledges and agrees that Party A has the right to send emails to Party B.
c. Party A shall send emails to Party B in accordance with Party B's instructions and with any applicable law or regulation.
d. The term of this Agreement shall commence on the date first written above and shall continue until either party terminates this Agreement by giving written notice to the other party.
e. In the event of a material breach of any provision of this Agreement by either party, the non-breaching party shall have the right to terminate this Agreement immediately upon written notice to the breaching party.
3. Compliance with Chinese Law and Regulations
Both parties agree that they shall comply with all applicable laws and regulations in performance of their respective obligations under this Agreement.
4. Rights and Obligations of Parties
a. Party A shall have the right to send emails to Party B in accordance with the terms and conditions of this Agreement.
b. Party B shall have the right to receive emails from Party A in accordance with the terms and conditions of this Agreement.
c. Party A and Party B shall each be responsible for maintaining the confidentiality and security of any information transmitted or received over email.
d. Party A and Party B shall each be responsible for their own costs and expenses incurred in performance of their respective obligations under this Agreement.
5. Legal Validity and Enforceability
This Agreement shall be binding upon and enforceable against the parties hereto and their respective legal representatives, successors and assigns. This Agreement shall be enforced in accordance with the laws of the People's Republic of China.
6. Miscellaneous
a. This Agreement contains the entire agreement of the parties and supersedes any other understandings or agreements, whether written or oral.
b. This Agreement may not be amended or modified except in writing executed by both parties.
c. This Agreement shall be executed by electronic signature and shall have the same force and effect as an original document.
d. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.
