This Statement of Work (SOW) is made as of [Date] by and between XXXXXXXX, a Swiss corporation with its principal place of business at XXXXX, XXXX, USA (“Customer”) and XXXXXXXX., a PRC corporation with its principal place of business located at XXXXXXXXXXX, China (“Supplier”).
This SOW will be deemed as an appendix to the Manufacturing and Sales Agreement (“Agreement”) signed by and between
Customer and Supplier on [Date]. Except as specifically stated herein, all terms used in this SOW will have the same meaning as in the Agreement.
Supplier shall carefully read and consider the requirements described in this SOW. Supplier’s award BOM shall list out all its assumptions including the design assumption for any uncertain or unclear area of the requirements or in Section Risk and Contingency plan.
Supplier’s quotation dated [ ...  ] will be deemed as a commitment to Customer and shall have covered all requirements under the requirements listed in this SOW. Supplier may not unilaterally increase any cost amount or cost item or add on any other additional conditions or assumptions after submitting its quotation to Customer, unless Customer changes the specifications or there are other new requirements for the project after Supplier submitted its quotation. In case of any such change made by Customer, both parties shall negotiate the reasonable cost increase or reduction in good faith. Supplier agrees to work together to improve the material cost.

With this SOW, the Supplier will perform certain services and create certain deliverables for Customer. Customer will provide technical reviews and guidance as needed during the Supplier’s design process.Deliverables include designs produced for this SOW.
Supplier is required to disclose the related technical documents such as 3D CAD files to Customer.
Customer is sole property and IP owner of all deliverables and has the right to have designs and technical documents transferred to other suppliers for manufacture.
